Scelto terms of service

These terms are an agreement between Vesuvio Labs LLC, a California limited liability company ("we", "us"), and the business that installs Scelto on its Shopify store ("you"). By installing or using Scelto you accept these terms, our privacy policy and our data processing agreement.

1. The service

Scelto is a Shopify app that helps AI shopping agents read your store: it scores how ready the store is for them, adds product data to your product pages through a theme app embed, gives agents a plain version of your store and a store agent to ask, and shows you which agents visit and the orders AI sends. The free agent check at getscelto.com/check reads any store's public pages and is covered by sections 6 to 10 too.

Scelto gives agents the same prices, stock and facts your storefront shows people. It does not guarantee that any AI agent will recommend your store or products.

2. Your account

You use Scelto through your Shopify account and must follow Shopify's terms. You're responsible for who in your organisation can use the app, and for the content of your store, which Scelto reads to do its job.

3. Plans and billing

Scelto has a free plan and a paid Pro plan. Pro is billed by Shopify on our behalf, on your Shopify invoice, at the price shown in the app and on the Shopify App Store listing, after any free trial. You can upgrade, downgrade or cancel at any time from the app's Plan page; cancelling stops future charges, and Shopify handles any proration. We may change prices with at least 30 days' notice; a change applies from your next billing cycle after that.

4. Changes to your store

Scelto changes your store only in ways you choose: the theme app embed and product specs block you switch on, and product descriptions it updates when you press a button such as "Add specs". You can switch these off or edit the results at any time.

5. Acceptable use

You won't use Scelto to break the law, to show AI agents different prices, stock or facts than people, to put instructions aimed at AI agents in your store's content, or to probe, overload or reverse-engineer the service. The free check may be used only on stores you own or are permitted to test, within its rate limits.

6. Your data

You own your store's data. We process it only to provide Scelto, as set out in the privacy policy, and we act as your processor for personal data about your store's visitors and customers under the data processing agreement, which forms part of these terms.

7. Our property

Scelto, its software and its content belong to Vesuvio Labs LLC. You get a non-exclusive, non-transferable right to use it for your store while these terms apply.

8. Availability and changes

We work to keep Scelto available and accurate but don't promise it will be uninterrupted or error-free. We may change or remove features; if we remove a paid feature you rely on, you can cancel without further charge.

9. Disclaimer

To the extent the law allows, Scelto is provided "as is", without warranties of any kind, including merchantability, fitness for a particular purpose and non-infringement. Readiness scores, checks and agent statistics are estimates from what agents can read; AI agents differ and change often.

10. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or revenue. Our total liability under these terms is limited to the greater of the fees you paid us in the 12 months before the claim and US$100. Nothing here limits liability that can't be limited by law.

11. Ending the agreement

You can stop at any time by uninstalling Scelto. We may suspend or end access if you breach these terms. When the app is uninstalled, Shopify asks us to delete your store's data 48 hours later, and we do, as the privacy policy describes.

12. Changes to these terms

We may update these terms. We'll change the date above and, for material changes, tell you in the app or by email at least 30 days before they apply. Continuing to use Scelto after that means you accept the new terms.

13. Law and disputes

These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Disputes go to the state and federal courts in Sacramento County, California, unless the law where you're based requires otherwise.
